Terms of Service
Last updated: October 15, 2026
These Terms of Service (“Terms”) govern your use of the website prwbtech.com (the “Website”) and the services provided by PRWB Technologies LLC, a Wyoming limited liability company with its registered address at 30 N Gould St Ste R, Sheridan, WY 82801, USA (“PRWB”, “we”, “us”). By using the Website or ordering our services, you agree to these Terms.
1. Our services
We provide software development services: AI consulting and engineering, AI gateways, data analytics systems, AI features, AI agents, and web and mobile application development (the “Services”). The specific scope, deliverables, schedule, acceptance criteria and price of each engagement are set out in a written proposal, statement of work or agreement signed or accepted by both parties (a “Statement of Work”). If a Statement of Work conflicts with these Terms, the Statement of Work prevails.
2. Prices and quotes
Prices shown on the Website are starting prices for typical engagements and are given in US dollars. The final price is the one stated in the Statement of Work. Prices exclude taxes and third-party costs such as cloud hosting, model API usage, GPU capacity and software licenses, which are billed at cost or paid by you directly, as agreed in the Statement of Work.
3. Payment
- The AI Readiness Sprint is paid in full before kickoff.
- Fixed-price projects are invoiced per milestone, before the milestone starts.
- Hourly work is invoiced monthly for the hours actually spent, at the rate in the Statement of Work.
- Invoices are payable in US dollars within 14 days of the invoice date unless the Statement of Work says otherwise.
If an invoice is overdue, we may pause work after written notice until it is paid. Cancellations and refunds are governed by our Refund Policy.
4. Your responsibilities
You agree to provide timely access, information, feedback and approvals needed for the Services, and to name a contact person who can make decisions. You confirm that you have the right to share with us any data, content or systems access you provide, and that our use of them as instructed by you does not violate any law or third-party rights.
5. Intellectual property
Once a phase or milestone has been paid in full, you own the deliverables we created specifically for you in that phase, including source code, prompts, evaluation sets and configuration. We keep ownership of our pre-existing tools, libraries and general know-how; where they are part of a deliverable, you receive a perpetual, non-exclusive, royalty-free license to use them as part of that deliverable. Open-source components remain under their own licenses.
6. Confidentiality
Each party will keep the other party's non-public business, technical and personal information confidential, use it only to perform or receive the Services, and protect it with reasonable care. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law. We are happy to sign a separate non-disclosure agreement before any information is shared.
7. AI outputs
AI systems produce probabilistic outputs that can be incomplete or wrong. We measure quality against evaluation criteria agreed with you, but we do not guarantee that any AI system will be error-free. You are responsible for deciding how AI outputs are used, and for human review before relying on them for legal, medical, financial or other high-impact decisions.
8. Third-party services
Our work may rely on third-party services such as cloud providers and model providers. Their use is subject to their own terms, and we are not responsible for their availability, pricing or changes. We will tell you which third-party services a solution depends on before you approve it.
9. Warranty
We will perform the Services in a professional and workmanlike manner. If a deliverable does not meet the acceptance criteria in the Statement of Work and you tell us in writing within 30 days of delivery, we will fix it at no additional cost. Except as stated in these Terms or a Statement of Work, the Website and the Services are provided “as is”, without other warranties, to the extent permitted by law.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising from these Terms or the Services. Our total liability for any claim relating to the Services is limited to the amounts you paid us for the Services in the 12 months before the claim arose.
11. Termination
Either party may end an engagement with 14 days' written notice, or immediately if the other party materially breaches these Terms or a Statement of Work and does not fix the breach within 14 days of notice. You will pay for work performed up to the termination date; refunds for unperformed work follow the Refund Policy.
12. Use of the Website
The Website is provided for information about our company and Services. The demos on the Website run in your browser on sample data and simulated responses; they are illustrations, not a service offer. You agree not to misuse the Website, attempt to disrupt it, or access it by automated means at a volume that impairs its operation.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Wyoming, unless the Statement of Work provides otherwise.
14. Changes
We may update these Terms from time to time. The version published on this page, with its “last updated” date, applies from the date of publication. Changes do not affect Statements of Work already signed.
